Terms of Service
Last updated: October 2, 2026. These Terms of Service ("Terms") govern your use of this website and any services provided by Hivemind ("Hivemind," "we," "us," or "our"), based in Ontario, Canada. By using this site, booking a call, or purchasing a service through Whop, you agree to these Terms. If you do not agree, do not use this site or our services.
1. Services
Hivemind provides clipping and UGC marketing services, including mass clipping campaigns funded through a Content Rewards budget pool, organic posting to a client's main business or game account, and organic posting to a fan account. The exact deliverables, volume, timelines, and pricing for any engagement are agreed between Hivemind and the client, including through the booking process and the Whop product the client purchases. Nothing on this site is an offer capable of acceptance merely by visiting the page; a service engagement begins only once a client has purchased a product through Whop or otherwise agreed to a scope of work with Hivemind.
2. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase services from Hivemind or to enter into these Terms on behalf of a client. Individuals who wish to work with Hivemind as clippers must be at least 13 years old. Clippers between the ages of 13 and 17 may only participate with the express written consent of a parent or legal guardian, who must agree to these Terms on the minor's behalf and who will receive any payment owed for the minor's work, since payment processors require account holders to be 18 or older. Hivemind may request reasonable verification of age, guardian consent, or authority to contract on behalf of a business, and may decline or terminate a clipper's participation if this cannot be verified.
3. Client responsibilities and content warranty
If you supply source content for clipping, you represent and warrant that you own the content or hold all rights, licenses, and permissions necessary for Hivemind and its clippers to cut, reproduce, and distribute it as part of the agreed campaign, and that the content does not infringe any third party's intellectual property, privacy, or other rights. You are responsible for ensuring you have the right to grant any account access you provide us for posting purposes. Hivemind and its clippers will use content only for the campaign and purposes you authorize.
4. Content standards
Neither Hivemind nor clippers working on your behalf will knowingly create or post content that is illegal, infringes third-party rights, is defamatory, or violates the terms of service of the platform it is posted to. Clients agree not to request content that violates this standard. Hivemind reserves the right to decline to produce or post content it reasonably believes violates this section, applicable law, or platform rules.
5. Relationship of the parties
Clippers who work with Hivemind do so as independent contractors, not as employees or agents of Hivemind or of any client. Nothing in these Terms creates a partnership, joint venture, franchise, or employment relationship between Hivemind, clients, and clippers. Hivemind is responsible for coordinating and paying clippers under the terms of its own agreements with them; clients contract with Hivemind, not directly with individual clippers.
6. Payments and billing
All payments are processed through Whop. For Content Rewards campaigns, the client funds a budget pool upfront and sets a pay-per-view rate; Hivemind manages the campaign, reviews submissions for compliance with campaign guidelines, and retains a management share of the pool (typically 15–20%, as agreed at the time of purchase) to cover coordination, review, and reporting, with the remainder paid out to clippers based on performance. For Main Account and Fan Account posting services, pricing is billed as agreed at checkout (one-time or recurring, as selected). All fees are exclusive of applicable taxes unless stated otherwise.
7. Refunds
If a Content Rewards campaign ends with budget remaining, Hivemind will refund the unused portion of the pool, including the unused portion of the management share; clients are only charged for the budget and management costs actually put to work during the campaign. For subscription-based Main Account and Fan Account services, refunds for partial billing periods are not provided except where required by law, but a client may cancel future billing at any time through Whop. Refund requests should be directed to hivemindclipping@gmail.com.
8. No guaranteed results
View counts, follower growth, engagement, and other performance outcomes depend on factors outside Hivemind's control, including platform algorithms, audience behavior, and content quality. Hivemind does not guarantee specific results and will perform the agreed campaign in good faith and with reasonable skill and care.
9. Intellectual property
Hivemind retains ownership of its own brand, website, and business materials. Clients retain ownership of the source content they provide. Clips created from client-supplied content are licensed to the client for use in connection with the campaign; Hivemind may request permission to reference completed campaigns (for example, in anonymized or aggregated form) for its own marketing purposes unless the client objects in writing.
10. Confidentiality
Each party agrees to use the other's confidential business information (such as campaign budgets, unreleased content, and strategy) only for purposes of the engagement, and not to disclose it to third parties except as needed to perform the services (including to clippers, on a need-to-know basis) or as required by law.
11. Disclaimer of warranties
Except as expressly stated in these Terms, the services and this website are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
12. Limitation of liability
To the fullest extent permitted by law, Hivemind will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to these Terms or the services, even if advised of the possibility of such damages. Hivemind's total liability for any claim arising out of or relating to these Terms or the services will not exceed the total fees actually paid by the client to Hivemind in the three months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold Hivemind, its clippers, and its officers harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of: (a) content you supply that infringes a third party's rights or violates law; (b) your breach of these Terms; or (c) your misuse of the services. Hivemind will indemnify clients against third-party claims arising solely from Hivemind's own gross negligence or willful misconduct in performing the services, subject to the limitation of liability in Section 12.
14. Termination
Either party may terminate an ongoing engagement in accordance with the cancellation terms of the applicable Whop product, or as otherwise agreed in writing. Hivemind may suspend or terminate access to its services immediately if a client breaches Section 3 (content warranty) or Section 4 (content standards), or fails to pay amounts due. Sections of these Terms that by their nature should survive termination (including Sections 7, 9–13, and 16) will survive.
15. Force majeure
Neither party will be liable for delay or failure to perform obligations under these Terms due to causes beyond its reasonable control, including platform outages, changes to third-party platform policies, acts of government, natural disasters, or internet or payment-processor disruptions.
16. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The parties agree to first attempt to resolve any dispute informally by contacting hivemindclipping@gmail.com. If a dispute cannot be resolved informally within a reasonable time, the parties submit to the exclusive jurisdiction of the courts located in Ontario, Canada.
17. Severability
If any provision of these Terms is found unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
18. Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without Hivemind's prior written consent. Hivemind may assign these Terms in connection with a merger, acquisition, or sale of assets without restriction.
19. Entire agreement
These Terms, together with any applicable Whop product terms and any written statement of work agreed between the parties, constitute the entire agreement between you and Hivemind regarding the services and supersede any prior agreements or understandings, written or oral, relating to that subject matter.
20. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent version. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
